Effective date: September 12, 2023

Home Care Sales, Inc. agrees to provide the training and consulting to the best of our ability. 

In exchange for the training and consulting services provided, the Client agrees to compensate Home Care Sales, Inc.. as indicated on the check out page.

Attorney Fees:  If HCS has to take any action to collect payment due under this Agreement, it shall be entitled to all reasonable costs of collection including, but not limited to, all reasonable attorneys’ fees and costs from Client or its successors and assigns.  

Cancelation / Refund Policy Except as otherwise agreed by the parties in writing, there are no refunds on coaching or training programs.

Intellectual Property Owned by Consultant: Client and Consultant each agree that all intellectual property of Consultant used in the training and consulting services provided under this contract, including without limitation, advertising and marketing concepts; methods, processes and techniques; trade secrets; information; data; formulas; models; analytical tools; all copyrightable material, including without limitation writings, computer programs, drawings and designs; all ideas, improvements, developments and discoveries made, conceived or reduced to practice by the Consultant; any inventions or processes that may be the subject matter of patent protection; and all other proprietary information and trade secrets of Consultant which are used in the services provided under this contract (the “Consultant IP”), shall remain the sole and exclusive property of Consultant. Consultant shall retain the right to seek, apply for and obtain any or all copyrights, patents, registrations, and similar protections which may be available in the Consultant IP, including reissues, extensions, divisions, and continuations thereof.  Consultant grants Client a non-exclusive, non-transferable license to use the Consultant IP while this Agreement is in effect.  The client shall make no other use of Consultant IP. The client's license to use the Consultant IP shall expire upon termination of this Agreement. Upon termination, the Client shall immediately cease and desist from all further use of the Consultant IP. Client’s agreement to comply with all provisions regarding Consultant IP shall survive the termination or expiration of this Agreement. If HCS has to take any action to enforce this section of the Agreement, it shall be entitled to all reasonable costs of enforcement, including, without limitation, attorney fees and costs from Client or its successor and assigns.  

Term The term of this Agreement will be from the Effective Date and continue for a period of 12 months.  

Termination The Parties may terminate this Agreement by their mutual written agreement.  Either Party may terminate this Agreement in the event of (i) any material breach of an obligation by the other Party, which breach is capable of being, but is not, cured within ninety (90) days after written notice of breach to the breaching Party; or (ii) any situation in which a Party commits a material breach of this Agreement that is not capable of being cured within ninety (90) days and the non-breaching Party provides written notice thereof and notice of termination. HCS shall continue to receive payment based on the Payment Terms, above, throughout the duration of any ninety (90) day notice period within this Termination provision, and until this Agreement is terminated.   

Miscellaneous   Independent Status of Parties

With respect to activities conducted under this Agreement, neither Party nor any of its personnel are, or are to be construed to be, employees, agents, partners, servants or joint venture partners of the other Party.  Neither Party will have any right or authority to act on behalf of, or incur any obligation for, the other Party.

Binding Effect

This Agreement shall be binding upon the successors and assigns of the client.

Jurisdiction in AL. 

This constitutes the entire Agreement between the parties.
